Identify the Goods and the Lot Standard Precisely

A coffee export contract first needs to establish exactly what is being sold. Broad commercial labels such as “green coffee” or “roasted coffee” may not be enough if the parties could still interpret the variety, product form, specification, quality grade, or testing method differently.

For coffee, the description normally connects processing state, origin, packaging, and agreed quality characteristics. The decisive point is that the criteria used to accept or reject the lot must be capable of being checked. The International Trade Centre’s Coffee Guide treats contracts, quality standards, logistics, and documentation as interconnected parts of coffee trade.

A useful clause does not have to be long. It has to be precise enough for the seller to know what must be delivered and the buyer to know what should be received. A broad product name can leave room for disagreement even when both sides have acted in good faith.

The more specific the product description, the easier it becomes to compare the contract with the shipment actually prepared for export. This is especially useful when several coffee grades or formats are handled at the same time. A clear lot description reduces the risk that a warehouse, carrier, or buyer works from a broader commercial label than the parties intended. The description should also remain stable across the commercial and operational records used for the shipment. When the same lot is identified consistently, staff can compare quantities and documents without interpreting different names for the same goods. This becomes especially valuable when an exporter handles several grades, origins, or packaging formats in parallel and when documents are prepared by different teams. A precise contract gives those teams a common reference point and makes later review much easier.

Quantity, Tolerance, and Delivery Schedule

Quantity can be expressed by weight, number of bags, net weight, or another agreed basis. If a tolerance is allowed, the contract should state what quantity the tolerance applies to and which party may exercise the permitted range.

Delivery timing also needs to be read together with the delivery point and the chosen trade term. Incoterms 2020 distinguishes the point of delivery from the point at which risk transfers under each rule. Under CPT, for example, risk transfers when the goods are delivered to the carrier even though the seller contracts for carriage to the named destination.

That is why “delivery in month X” may not be enough. The parties should identify the delivery window, the precise handover point, relevant documents, and what happens if a vessel, container, or transport schedule changes.

Quantity provisions also matter operationally because the people preparing the shipment need to know what range is acceptable. A tolerance should not be treated as an informal allowance. It is part of the agreement and should be connected to the measurement method and the party responsible for confirming the final quantity.

Price, Currency, and Payment Terms

Price may be stated per unit of weight, per lot, or through a reference-based formula. Where the commodity price can move materially, the contract should make clear whether the price is fixed or determined later and exactly when the price becomes final.

Currency introduces another layer of commercial exposure. A seller whose costs are mainly in one currency but whose revenue is received in another can see its margin change even when the coffee price itself remains unchanged.

Payment provisions should specify when payment is due, which documents must be presented, which banking or payment mechanism is used, and how discrepancies in documents are handled. Payment should be considered alongside delivery because cash flow, control of documents, and control of the goods can be closely connected.

A delivery window should be understandable to the teams arranging production, booking, documentation, and receiving. If the window is affected by a transport event, the contract should provide a clear basis for deciding whether the change is still within the agreed terms or requires notice and further action.

Transport Costs, Risk, and Responsibilities

Incoterms 2020 allocates a range of delivery, cost, and risk responsibilities, but it does not replace the sales contract. The parties still need provisions for the goods, price, payment, documents, quality, and other transaction-specific matters.

A common source of confusion is that cost and risk do not necessarily move at the same moment. One party may pay for transport to a named destination while the risk of loss has already transferred at an earlier point. ICC explains these distinctions within the individual Incoterms rules.

For coffee, packaging, container handling, storage conditions, the moment goods are handed to the carrier, and responsibility for delay or damage during transport should be considered explicitly rather than left to assumption.

Payment terms should be designed with the documentary flow in mind. A shipment may be physically ready while payment depends on documents being complete and consistent. When the contract identifies the required document set and the consequences of discrepancies, the parties have a clearer process for resolving an issue without confusing a paperwork problem with a quality problem.

Inspection, Claims, and Quality Deviations

The contract should establish the inspection criteria, sampling method, inspection timing, and the party authorized to perform or arrange the inspection. A phrase such as “goods of acceptable quality” is difficult to enforce if the measurement method is not defined.

The Coffee Guide places quality and transaction procedures within the wider structure of coffee trade. In practice, a file may include pre-shipment inspection results, weighing records, reference samples, transport documents, and the receiving inspection.

Claims should also have a defined time limit. If a buyer discovers a deviation after arrival, the contract should state when notice must be given, what evidence is required, and how a reinspection is handled. This turns a disagreement into a process based on identifiable evidence.

The allocation of transport responsibilities becomes especially important when a shipment involves several handover points. Packaging may occur at one location, a carrier may receive the cargo at another, and the main transport may continue under a separate arrangement. The contract should make clear which party controls and pays for each relevant stage under the selected rule.

Governing Law and Dispute Resolution

An international transaction can place the parties in different legal systems. The contract should therefore identify the governing law and an appropriate mechanism for resolving disputes.

A dispute clause should address the chosen forum or method, the location, language, and relevant procedural rules when arbitration is selected. Copying a clause from another transaction without checking whether it fits the present parties and shipment can create a new problem instead of solving one.

A strong contract is not necessarily a long contract. Its value comes from converting points of potential disagreement into rules that can be checked: what is being sold, how much, to what standard, where delivery occurs, when risk transfers, how payment works, and what evidence governs a claim.

Quality claims work best when the evidence was planned before the shipment was made. A defined sample, inspection method, timing, and notification period allow the buyer and seller to compare observations against the same standard. This is more reliable than trying to reconstruct the agreed quality basis after a disagreement has already developed.
